• Preparation and maintenance of issue-related records and reports.
• Assistance with post-issue investor queries and applicable follow-up requirements.

Registrar and Share Transfer Agent Services

Our proposed RTA services are intended to support issuers in maintaining shareholder records and administering investor-related requests in accordance with applicable regulatory requirements.

These services include:

• Maintenance and updating of shareholder records.
• Processing of eligible investor service requests.
• Coordination relating to transmission, transposition and other permitted changes in shareholder records.
• Support for dematerialisation and rematerialisation requests, where applicable.
• Coordination relating to dividend and other shareholder entitlements.
• Investor query management and service request tracking.
• Maintenance of relevant records, documentation and operational reports.

Corporate Action Services

Corporate actions require careful coordination, reliable data processing and adherence to prescribed timelines. We aim to provide operational support for eligible corporate actions, including:

• Private placement
• Rights issues
• Buybacks of securities
• Open offers and other takeover-related transactions
• Bonus issues and stock splits
• Dividend and interest payment processes
• Other permitted corporate actions, subject to applicable registration and engagement scope

Listed Company Support

We aim to assist listed companies with ongoing registrar-related requirements and investor servicing through structured processes, appropriate documentation and coordination with relevant market infrastructure institutions.

Our focus is on supporting the efficient administration of shareholder information, corporate actions and investor requests in accordance with applicable requirements.

Unlisted Company Support

We also aim to support eligible unlisted companies in managing shareholder records and specified securities-related activities, subject to the nature of the engagement and applicable regulatory requirements.

Regulatory Disclosure

Investors, clients, beneficiaries and other stakeholders are hereby informed that Sundae RTA Private Limited (“Sundae RTA”), in addition to the Permitted Activities under Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 2025, as amended, carried out by it as a SEBI-registered Registrar & Share Transfer Agent, also undertakes certain fee-based and non-fund-based advisory activities that do not fall under the regulatory purview of SEBI and pertains to similar services to unlisted companies (“Non Sebi Regulated Activities”).

Such Non SEBI Regulated Activities includes registrar and share transfer agent services provided to unlisted companies and their shareholders which may fall under the purview of Ministry of Corporate Affairs, Government of India and does not require any specific registration under the respective Act(s) or Rules and Regulations made thereunder, and the only requirement is that the entity providing such services should be registered with SEBI as Registrar and Share Transfer Agent.
